How to Choose Board Management Software: A Practical Framework

Every board portal demo looks similar: a clean interface, a long feature list, a confident pitch. The differences that actually matter — where the papers sit, what you are really paying for, and how easy it is for your least technical director to use — only surface once you dig past the demo. Board management software (also called a board portal) should be chosen against five criteria: security certification, where papers are hosted, the pricing model behind the headline price, usability for directors who are not full-time technology users, and what switching later would cost.

What security certifications should you look for?

ISO/IEC 27001, the international standard for information security management, is now close to universal among established providers — it appears on every UK Government Digital Marketplace listing checked for this article, each with a named accreditation body and certification date.¹²³⁴⁵⁶ That makes it a baseline filter, not a way to tell providers apart.

The more useful comparison is what sits alongside it. Diligent's Board Portal and BoardEffect both add SOC 1 Type 2 and SOC 2 Type 2 audits on top of ISO 27001.¹² Azeus Convene lists SOC 2 alongside Cyber Essentials and Cyber Essentials Plus, a UK-government-recognised certification that is comparatively quick and cheap to verify.⁵ One caution worth noting: certification dates on public listings can be old — Board Intelligence's listed ISO 27001 accreditation dates to 2015, which is accurate to what is published but old enough that it is worth asking the vendor directly for current recertification evidence rather than assuming the listing is up to date.³

Where are board papers actually hosted?

Data residency — the country a provider's servers sit in, and under which country's law that data is processed — is not always obvious from a vendor's marketing site. UK Government Digital Marketplace listings are a useful workaround: suppliers are required to disclose hosting location as a condition of listing, which makes this question answerable from public record even when a vendor's own website is silent on it.

The disclosures vary in how specific they are. Board Intelligence and Azeus Convene each disclose UK-only hosting on their listings; Diligent and BoardEffect disclose a wider "UK, EEA and other locations"; iBabs and Admincontrol disclose hosting within the European Economic Area.¹²³⁴⁵⁶ None of that makes one provider more secure than another by itself — but the level of detail a vendor is willing to put in writing is itself informative, and it is a fair, specific question to ask any provider directly rather than an assumption to make either way.

How much does board management software actually cost?

Headline pricing is only useful once you know which model it belongs to. Across six providers with published UK Government Digital Marketplace pricing, three distinct structures show up for otherwise similar products:

A per-seat price that looks cheaper can still cost more once a full board and its committees are added — a flat per-organisation model like Board Intelligence's can work out lower than a per-licence model for a large board, and higher for a small one. Real invoiced cost also diverges from any headline figure: a UK Find a Tender Service notice shows Thirteen Housing Group Limited's three-year contract for OnBoard's board management platform came to £47,310 excluding VAT — around £15,770 a year for that organisation's actual seat count, not a published list price.⁹ The practical response is to ask each shortlisted vendor to quote against your real board and committee size, not to compare headline numbers.

How do you judge usability for non-technical directors?

A feature list does not tell you whether your board will actually use the software. The most reliable test is to have two or three directors — not just the company secretariat — try the portal on their own device before signing, including offline annotation, since many directors read board packs on a train or a flight without a live connection.

What separates a genuinely useful platform from a basic one often shows up in what it does beyond simple distribution. "The other providers out there offered a way of getting the papers onto a portal — but that was it," said Keith Hawkins, Company Secretary at TSB, describing why the bank moved to a platform that also supported collaboration on packs before meetings, in a Board Intelligence case study.¹⁰ That is a single organisation's account, not an industry benchmark, but it points to a genuine selection question: does the software stop at distribution, or does it support how directors actually prepare?

What does switching providers actually involve?

There is no independently audited, vendor-neutral figure for how long switching board management software takes — a genuine gap in the evidence, not an oversight. Vendors' own estimates vary: some describe a small-board migration taking a few weeks, others put an enterprise deployment with single sign-on and full data migration at two to three months. Treat either as illustrative rather than a guarantee, and get a written timeline from the provider before signing.

The practical groundwork is consistent across vendor guidance: audit existing documents, agendas, minutes and permissions before migrating, restrict who can access data during the migration itself, and run a mock meeting on the new system before go-live to catch transfer errors early.¹¹ A governance team that scopes this work with the vendor up front, rather than assuming it will be trivial, avoids the most common cause of a difficult switch.

In summary

Choosing board management software comes down to five checks: security certification as a baseline filter, a specific answer on where papers are hosted, the pricing model behind the headline price, a usability test with actual directors, and a written plan for what switching later would involve.
